Membership Agreement

1. Introduction

This Membership Agreement governs your application for, and participation in, the Made in Heaven membership service.

By submitting an application, creating an account, paying a membership fee, attending a consultation, or using any Made in Heaven service, you agree to be bound by this Membership Agreement.

If you do not agree, you must not apply for or use the Made in Heaven membership service.

2. About Made in Heaven

Made in Heaven is a private, personalised matchmaking and introduction service operating in Australia.

Made in Heaven provides curated introductions between eligible members based on information provided by members, personal preferences, availability, compatibility considerations, and our professional judgement.

Made in Heaven is not an online dating platform, investigation service, background verification service, marriage broker, counselling service, financial advisory service, legal advisory service, or medical advisory service.

3. Application-Based Membership

Membership is by application only.

Submitting an application does not guarantee acceptance.

Made in Heaven reserves the right, at its sole discretion, to accept, decline, suspend, or terminate any application or membership where we consider it appropriate.

We are not required to provide reasons for declining an application.

4. Eligibility

To apply for membership, you confirm that:

1. you are at least 18 years old;
2. you have legal capacity to enter into this Agreement;
3. you are applying for genuine personal relationship purposes only;
4. all information you provide is true, accurate, complete, current, and not misleading;
5. you are not applying on behalf of another person without their full consent;
6. you will comply with this Agreement and all applicable Australian laws.

Made in Heaven may request additional information before approving an application.

5. Truthful and Accurate Information

You must provide truthful, accurate, complete, and up-to-date information throughout the application and membership process.

This includes information about your identity, age, marital status, relationship status, employment, background, lifestyle, intentions, preferences, photographs, and any other information requested by Made in Heaven.

You must promptly notify Made in Heaven if any information previously provided becomes inaccurate, incomplete, or misleading.

If Made in Heaven believes that information provided by you is false, misleading, incomplete, or inaccurate, we may suspend or terminate your membership immediately and without refund, except where a refund is required by Australian law.

6. No Independent Verification

Made in Heaven relies on information provided directly by applicants and members.

Unless expressly stated otherwise in writing, Made in Heaven does not independently verify the accuracy, completeness, or truthfulness of information provided by members.

Made in Heaven does not conduct police checks, criminal history checks, financial checks, employment checks, identity verification checks, credit checks, reference checks, marital status checks, medical checks, or other background checks unless expressly agreed in writing.

Members are responsible for conducting their own due diligence before communicating with, meeting, or entering into any relationship with another member.

7. Member Due Diligence

You acknowledge that you are responsible for making your own decisions about whether to communicate with, meet, continue seeing, or enter into a relationship with another member.

You are responsible for any background, identity, financial, employment, medical, family, personal, or reference checks you consider appropriate.

Made in Heaven accepts no responsibility for inaccurate, incomplete, false, or misleading information provided by any member.

8. No Guarantee of Compatibility or Relationship Success

Made in Heaven provides a personalised introduction service only.

Made in Heaven does not guarantee:

1. compatibility;
2. mutual attraction;
3. chemistry;
4. communication;
5. introductions within a specific timeframe;
6. a specific number of suitable matches;
7. ongoing dating;
8. exclusivity;
9. engagement;
10. marriage;
11. long-term relationship success;
12. any particular personal, emotional, or romantic outcome.

Relationship outcomes depend on many factors beyond our control.

By using our services, you acknowledge that Made in Heaven is not responsible or liable for the outcome of any introduction, communication, meeting, or relationship.

9. Nature of Introductions

Introductions are made based on the information available to Made in Heaven at the time and our professional judgement.

You acknowledge that matchmaking is subjective and that an introduction does not represent a guarantee, endorsement, warranty, or verification of another member.

You are free to accept or decline an introduction.

Made in Heaven may, at its discretion, decide whether or not to continue proposing introductions depending on your membership package, availability of suitable members, conduct, responsiveness, preferences, and compatibility considerations.

10. Member Conduct

You agree to conduct yourself respectfully, honestly, lawfully, and appropriately at all times.

You must not:

1. harass, threaten, intimidate, abuse, stalk, or discriminate against another member;
2. use offensive, sexually explicit, aggressive, or inappropriate language;
3. pressure another member into communication, meetings, intimacy, financial arrangements, or personal commitments;
4. misrepresent your identity, intentions, background, relationship status, or circumstances;
5. contact another member after they have asked you not to;
6. share another member’s information without consent;
7. use Made in Heaven for commercial, recruitment, media, research, or competing business purposes;
8. request money, gifts, loans, investments, business opportunities, or financial assistance from another member;
9. behave in a way that compromises the safety, privacy, wellbeing, or reputation of another member or Made in Heaven.

Made in Heaven may suspend or terminate your membership immediately if your conduct is considered inappropriate, unsafe, dishonest, unlawful, or inconsistent with the values of the service.

11. Personal Safety

Your personal safety is your own responsibility.

Made in Heaven carefully curates introductions, but we cannot guarantee the conduct, intentions, background, or actions of any member.

You agree to exercise reasonable judgement and caution when communicating with or meeting another member.

We recommend that initial meetings take place in a public location and that you inform a trusted person of your plans.

Made in Heaven is not liable for any loss, damage, injury, harm, emotional distress, or consequence arising from communications, meetings, interactions, or relationships between members, except where liability cannot lawfully be excluded.

12. Membership Fees

Membership fees, package fees, consultation fees, upgrade fees, and any other charges will be communicated before payment.

By making payment, you agree to the relevant fees and payment terms.

All prices are stated in Australian dollars unless otherwise specified.

Payment may be processed by third-party payment providers such as Stripe or PayPal.

Made in Heaven is not responsible for payment delays, transaction failures, bank charges, currency conversion fees, or third-party processing issues.

13. Refund Policy

All membership fees are non-refundable once paid, including where:

1. you change your mind;
2. you cancel your membership;
3. you do not receive an introduction;
4. you decline introductions;
5. you do not enter into a relationship;
6. you are dissatisfied with the outcome of an introduction;
7. your membership is terminated due to breach of this Agreement.

Refunds will only be provided where required by applicable Australian law, including the Australian Consumer Law.

Nothing in this Agreement excludes, restricts, or modifies any rights or remedies that cannot lawfully be excluded, restricted, or modified.

14. Membership Cancellation

You may request to cancel your membership by contacting Made in Heaven in writing.

Cancellation does not entitle you to a refund unless required by Australian law.

Following cancellation, you must stop using the membership service and comply with all continuing obligations, including confidentiality obligations.

15. Right to Refuse, Suspend, or Terminate Membership

Made in Heaven reserves the right to refuse, suspend, or terminate membership at its sole discretion where we believe it is in the best interests of our members, community, business, safety, privacy, or reputation.

This may include circumstances involving:

1. false or misleading information;
2. inappropriate conduct;
3. unlawful conduct;
4. harassment or abusive behaviour;
5. breach of confidentiality;
6. breach of this Agreement;
7. misuse of member information;
8. conduct inconsistent with the values of Made in Heaven;
9. safety, privacy, or wellbeing concerns.

Where a membership is terminated due to breach of this Agreement or inappropriate conduct, membership fees will not be refunded unless required by Australian law.

16. Member Confidentiality and Non-Disclosure Obligations

Made in Heaven is founded on privacy, discretion, trust, and mutual respect.

As a condition of membership, you agree to protect the confidentiality of all members and all confidential information obtained through Made in Heaven.

Confidential Information includes, but is not limited to:

1. the identity of Made in Heaven members;
2. member profiles;
3. photographs;
4. biographies;
5. personal information;
6. contact details;
7. conversations;
8. communications;
9. introductions;
10. information about a member’s career, business, finances, family, lifestyle, background, preferences, or personal circumstances;
11. any information that would reasonably be considered private or confidential.

You agree that you will not, without prior written consent:

1. share, publish, copy, distribute, disclose, or misuse another member’s information;
2. take screenshots, recordings, photographs, or copies of profiles or communications for distribution;
3. upload or share member information on social media, messaging platforms, websites, forums, or public or private platforms;
4. disclose another member’s identity to any third party;
5. use information obtained through Made in Heaven for any purpose other than pursuing a genuine personal relationship;
6. contact another member outside the agreed introduction process using information obtained through Made in Heaven without their consent.

These confidentiality obligations continue after your membership ends.

17. Return or Deletion of Confidential Information

If your membership ends for any reason, you agree to permanently delete any confidential member information, profiles, photographs, contact details, screenshots, communications, or materials obtained through Made in Heaven that are no longer reasonably required.

You must not retain, copy, distribute, or use another member’s information after your membership ends.

18. Exceptions to Confidentiality

The confidentiality obligations do not prevent you from:

1. disclosing information where required by law or court order;
2. reporting unlawful conduct to appropriate authorities;
3. seeking independent legal, financial, medical, or professional advice, provided the adviser maintains confidentiality;
4. disclosing information with the prior written consent of the relevant member and Made in Heaven.

19. Breach of Confidentiality

Any breach of confidentiality may result in immediate suspension or termination of your membership without refund, except where a refund is required by Australian law.

Made in Heaven reserves the right to pursue any legal remedies available where confidential information has been misused, disclosed, copied, published, or distributed in breach of this Agreement.

20. Non-Circumvention and Non-Commercial Use

You must not use Made in Heaven, its database, member information, introductions, communications, or confidential information for any commercial, professional, recruitment, media, research, or competing business purpose.

You must not use information obtained through Made in Heaven to:

1. create, support, or promote a competing matchmaking, dating, matrimonial, or introduction service;
2. solicit members for business, investment, employment, media, or commercial purposes;
3. extract, copy, reproduce, or build a database of members;
4. contact members outside the intended personal introduction process without consent.

21. Intellectual Property

All Made in Heaven branding, website content, member questionnaires, application forms, matching methodology, written materials, database structure, communications, and business processes remain the property of Made in Heaven.

You must not copy, reproduce, adapt, distribute, publish, or commercially exploit Made in Heaven materials without prior written consent.

22. Privacy

Made in Heaven collects and handles personal information in accordance with its Privacy Policy.

By applying for membership, you acknowledge that Made in Heaven may collect, use, store, and disclose personal information for the purposes of assessing your application, providing matchmaking services, communicating with you, processing payments, improving services, and complying with legal obligations.

Because matchmaking involves sensitive personal information, you must read the Privacy Policy carefully before submitting your application.

23. Communication Consent

By applying for membership, you consent to Made in Heaven contacting you by email, phone, SMS, WhatsApp, video call, or other reasonable communication channels for purposes connected with your application, membership, introductions, consultations, account administration, and service updates.

You may unsubscribe from marketing communications where required by law.

Important membership or service communications may still be sent where necessary.

24. Third-Party Services

Made in Heaven may use third-party tools and service providers including, but not limited to:

1. payment processors;
2. scheduling tools;
3. video meeting platforms;
4. email platforms;
5. website hosting providers;
6. analytics providers;
7. customer relationship management tools.

Your use of third-party services may be subject to their own terms and privacy policies.

Made in Heaven is not responsible for the acts, omissions, failures, security incidents, or terms of third-party providers, except where responsibility cannot lawfully be excluded.

25. Limitation of Liability

To the fullest extent permitted by Australian law, Made in Heaven, its owners, directors, employees, contractors, consultants, and representatives are not liable for any direct, indirect, incidental, consequential, special, exemplary, emotional, reputational, financial, or personal loss, damage, cost, expense, claim, or consequence arising out of or in connection with:

1. your application;
2. your membership;
3. use of our services;
4. any introduction;
5. any communication with another member;
6. any meeting with another member;
7. any relationship or relationship outcome;
8. reliance on information provided by another member;
9. inaccurate or misleading information provided by a member;
10. termination or suspension of membership.

This includes, without limitation, emotional distress, disappointment, loss of opportunity, financial loss, reputational harm, personal injury, or harm arising from interactions with another member.

Nothing in this Agreement excludes, restricts, or modifies any rights or remedies that cannot lawfully be excluded under Australian law.

26. Indemnity

You agree to indemnify Made in Heaven, its owners, directors, employees, contractors, consultants, and representatives against any loss, damage, liability, claim, demand, cost, or expense arising from:

1. your breach of this Agreement;
2. your breach of confidentiality;
3. false, inaccurate, incomplete, or misleading information provided by you;
4. your misuse of member information;
5. your conduct towards another member;
6. your unlawful or inappropriate conduct;
7. any claim made by another member arising from your actions or omissions.

27. Australian Consumer Law

Nothing in this Agreement is intended to exclude, restrict, or modify any rights or remedies you may have under the Australian Consumer Law or any other applicable legislation that cannot lawfully be excluded, restricted, or modified.

Where permitted by law, Made in Heaven limits its liability to the fullest extent permitted by applicable legislation.

If any provision of this Agreement is found to be unenforceable or inconsistent with mandatory consumer protection laws, it will be interpreted or modified only to the extent necessary to comply with those laws, and the remaining provisions will continue in full force and effect.

28. Dispute Resolution

If a dispute arises, you agree to contact Made in Heaven first and provide reasonable details of the issue.

Both parties agree to attempt to resolve the dispute in good faith before commencing legal proceedings, except where urgent legal relief is required.

29. Governing Law

This Agreement is governed by the laws of Australia and the State or Territory in which Made in Heaven principally operates.

The parties submit to the jurisdiction of the Australian courts.

30. Changes to This Agreement

Made in Heaven may update this Agreement from time to time.

The latest version will be made available on the website or provided during the membership process.

Continued use of the membership service after updates are made constitutes acceptance of the updated Agreement, unless otherwise required by law.

31. Acceptance

By submitting an application, creating an account, paying a membership fee, attending a consultation, or using Made in Heaven services, you acknowledge that you have read, understood, and agree to be bound by this Membership Agreement, including the Member Confidentiality and Non-Disclosure obligations.
